Terms and Conditions for Neyox.ai

Welcome to the website and services of Neyox Outsourcing Pvt Ltd and Neyox.ai (“Neyox,” “we,” “us,” or “our”). These Terms of Use and Terms & Conditions (“Terms”) govern your access to and use of our websites, applications, platforms, AI systems, software, and related services (collectively, the “Services” or “Site”). By accessing, browsing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and any policies referenced herein. If you do not agree with these Terms in their entirety, you must immediately discontinue use of the Services.

1. ACCEPTANCE OF TERMS

By clicking “I Accept,” registering for an account, or using the Services, you represent that:

• You have read and understood these Terms.
• You are of legal age to form a binding contract.
• You have the authority to enter into these Terms personally or on behalf of the entity you represent.

2. THE SERVICES

2.1 License Grant. Subject to these Terms, Neyox grants you a non-exclusive, non-transferable, revocable license to access and use our AI-powered tools and platform for your internal business or personal use.

2.2 Service Evolution. Neyox is constantly evolving. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. USER CONTENT & AI OUTPUT

3.1 Definitions. “Input” refers to any data, text, or images you provide to the Services. “Output” refers to the content generated by the AI based on your Input. Collectively, these are “Your Content.”

3.2 Ownership. You retain ownership of your Input. Subject to your compliance with these Terms, Neyox hereby assigns to you all its right, title, and interest in and to the Output.

3.3 Similarity of Output. You acknowledge that due to the nature of machine learning, Output may not be unique across users. Other users may provide similar inputs and receive the same or similar output.

3.4 AI Training. By using our Free Tier, you grant Neyox a license to use your Content to improve and train our AI models. Users on Paid Tiers may opt-out of data training through their account settings.

4. ACCEPTABLE USE POLICY

You agree not to use the Services to:

• Generate content that is illegal, harmful, or promotes discrimination.
• Infringe upon the intellectual property rights of any third party.
• Reverse-engineer or attempt to extract the source code of the AI models.
• Represent that Output was solely human-generated when it was not.
• Use any automated means (bots, scrapers) to access the Services without authorization.

5. FEES AND PAYMENT

5.1 Subscriptions. Certain features require a paid subscription. Fees are billed in advance on a recurring basis (monthly/annually).

5.2 No Refunds. Except as required by law, all fees are non-refundable.

5.3 Changes in Pricing. We may change our fees at any time. Any price changes will apply to the next billing cycle following notice to you.

6. INTELLECTUAL PROPERTY

The Neyox.ai name, logo, and the technology powering the Services are the exclusive property of Neyox and its licensors. These Terms do not grant you any rights to use Neyox’s brand assets without prior written consent.

7. DISCLAIMERS & LIMITATION OF LIABILITY

7.1 “As Is” Basis. The Services are provided “AS IS.” Neyox makes no warranties regarding the accuracy, reliability, or fitness of the AI-generated Output for any specific purpose.

7.2 Limitation of Liability. To the maximum extent permitted by law, Neyox shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising out of your use of the platform.

8. TERMINATION

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

9. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
